XinXin Network ("XinXin", "we", "us", or "our") is a classified information platform for Singapore's Chinese community, operated by a Singapore-registered entity. Before using our services, please read these Terms of Service ("Terms") carefully. By accessing or using XinXin Network, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our services. These Terms are governed by the Consumer Protection (Fair Trading) Act 2003 (Cap. 52) of Singapore and all applicable laws and regulations thereof. --- ## 1. Description of Services XinXin Network provides the following services ("Services"): - Publishing and browsing classified listings (property rental, secondhand goods, jobs, lifestyle services, etc.); - User registration and account management; - Platform messaging between users; - Paid premium services, including but not limited to listing promotion and top placement; - Any other features or services we may add or adjust from time to time. We reserve the right to modify, suspend, or discontinue any part of the Services at any time without prior notice. --- ## 2. Account Registration and Use ### 2.1 Eligibility - You must be at least 18 years of age to register for and use the Services; - You must provide true, accurate, complete, and current personal information during registration; - Each natural person may hold only one account (one account per phone number or email address); - If registering on behalf of a business or organisation, you must have the proper authorisation and ensure all registration details are accurate and authorised. ### 2.2 Account Security - You are responsible for keeping your account credentials confidential and must not disclose them to any third party; - You are solely responsible for all activities that occur under your account; - If you suspect your account has been compromised or there is a security risk, you must notify us immediately; - We are not liable for any loss arising from your failure to maintain the confidentiality of your account credentials. ### 2.3 Account Suspension or Termination You may request account deletion by contacting customer support at any time. We may immediately suspend or terminate your account without notice if you: - Violate any provision of these Terms; - Engage in any illegal, fraudulent, or harmful activity; - Repeatedly post violating content or receive valid complaints; - Maliciously exploit platform vulnerabilities or engage in technical abuse; - Engage in any other conduct we reasonably deem inappropriate. Upon account termination, all listings and content you have published will be removed or hidden. --- ## 3. User Conduct ### 3.1 Your Representations and Warranties By using the Services, you represent and warrant that you will: - Register with your true identity and not impersonate any other person; - Comply with all applicable laws of Singapore in all activities on the platform; - Ensure all listings and information you post are true, accurate, and not misleading; - Respect other users and not engage in harassment, defamation, threats, or discrimination; - Not interfere with the normal operation of the platform, including but not limited to uploading malicious code or conducting cyber attacks. ### 3.2 Prohibited Conduct You must not on the platform: - Post false information, misleading advertisements, or fraudulent content; - Post or facilitate the trade of illegal goods or services (including but not limited to drugs, weapons, counterfeit goods); - Infringe upon the intellectual property rights of others (trademarks, copyrights, patents, etc.); - Collect or use other users' personal data without authorisation; - Post obscene, violent, gory, or otherwise offensive content; - Send spam or conduct unsolicited commercial promotion without user consent; - Impersonate the platform or falsely claim an association with the platform; - Circumvent content moderation or security mechanisms; - Engage in any money laundering or terrorist financing activities. --- ## 4. Listing and Posting Rules ### 4.1 Listing Standards - Listing titles must accurately reflect the content and must not contain irrelevant keywords for search engine optimisation purposes; - Listings must be posted in the correct category; cross-category postings may be automatically processed by the system; - Duplicate listings of the same item or service are not permitted and will be automatically hidden or removed; - Images must be relevant to the listing content and must not contain contact watermarks (e.g., WhatsApp numbers, phone numbers); - Prices must be genuine and must not be used to mislead users with false pricing; - Text descriptions must be detailed, truthful, and must not contain nudity, violence, or discriminatory content. ### 4.2 Promotion and Top Placement Services - Top placement and promotion services are paid services; specific pricing is as displayed on the platform; - Promotions have a minimum duration of 24 hours; upon expiry, the listing automatically returns to normal ranking; - Promoted listings must still comply with all posting rules; violating listings may have promotion cancelled without refund; - Merchant users and verified users may be entitled to different promotion benefits, as displayed on the platform. ### 4.3 Listing Removal and Appeals - You may edit or delete your own listings at any time; - If your listing is removed for violating these Terms, you may submit an appeal within 7 days; - Appeals must be submitted through the platform customer service channel; we will process appeals within 10 business days of receipt. --- ## 5. Transaction Safety Important Notice: XinXin Network operates as an information listing platform and does not participate in transactions between users. Users bear the full risk of their own dealings with other parties. ### 5.1 Non-Intervention Principle - We do not guarantee, warrant, or provide any form of assurance regarding transactions, payments, delivery, or service quality between users; - In the event of a transaction dispute, users should first attempt to resolve the matter through direct negotiation; - For transactions involving in-person meetings with strangers, you must take all reasonable safety precautions; - We strongly recommend that users verify the other party's identity before transacting and use platform-recommended payment methods wherever possible. ### 5.2 Fraud Prevention - If you encounter suspicious transactions or users, please report them to the platform immediately; - For conduct suspected of constituting fraud, we reserve the right to cooperate with Singapore law enforcement authorities; - If you have suffered losses due to fraudulent conduct, please report the matter to the Singapore Police Force (SPF) immediately. --- ## 6. Fees and Payment ### 6.1 Fee Information - Browsing, registration, and basic listing posting are free (specific rules are as displayed on the platform); - Certain premium services (e.g., top placement promotion) require payment; - All fees are quoted in Singapore Dollars (SGD) and will be clearly communicated before purchase; - Prices include GST where applicable. ### 6.2 Payment Methods - We process online payments through third-party payment service providers, including but not limited to Creem (a Singapore-licensed payment service provider) and Alipay; - If you encounter any issues during payment, please contact customer support; - Fees paid are non-refundable except in the following circumstances: - Duplicate charges caused by a system error (refunded upon verification); - Services not provided as agreed (refunded on a pro-rata basis upon verification); - Other circumstances required by law. We will provide at least 7 days' prior notice of any price change through platform announcements or email. Your continued use of the Services after the effective date of a price change constitutes your acceptance of the new pricing. --- ## 7. Intellectual Property ### 7.1 Platform Content - The XinXin Network name, logo, interface design, code, and all platform content are the intellectual property of XinXin or its licensors; - You may not copy, modify, distribute, or commercially exploit any platform content without our prior written permission. ### 7.2 User Content - You retain copyright in all content (text, images, videos) you post on the platform; - You grant us a non-exclusive, worldwide, royalty-free, sublicensable licence to use, copy, modify, and distribute your posted content for the purpose of operating, promoting, and improving the platform; - You warrant that the content you post does not infringe upon the intellectual property rights or other rights of any third party. --- ## 8. Disclaimer and Limitation of Liability ### 8.1 "As Is" Basis Our Services are provided on an "as is" and "as available" basis. We make no express or implied warranties regarding the timeliness, security, completeness, or accuracy of the Services. ### 8.2 Third-Party Content - Information, content, and transactions posted by users on the platform are the sole responsibility of the posting user; - We are not responsible for the content, accuracy, or legality of any third-party advertisements, linked websites, or services; - The platform may contain links to external websites beyond our control; we bear no responsibility for such external resources. ### 8.3 Limitation of Liability To the maximum extent permitted by law, our total liability shall not exceed: - Where our negligence causes your loss: the total fees you have paid to us in the 12 months preceding the event giving rise to the claim; - Where losses are caused by factors beyond our control (including but not limited to user conduct, information accuracy, third-party services): we bear no liability. Nothing in these Terms limits or excludes liability for: - Death or personal injury caused by our negligence; - Fraud or fraudulent misrepresentation; - Any liability that cannot be lawfully limited or excluded under Singapore law. --- ## 9. Indemnification You agree to defend, indemnify, and hold harmless XinXin Network, our officers, employees, and partners from and against any and all third-party claims, suits, or proceedings, and any losses, damages, or costs (including reasonable legal fees) arising from: - Your breach of these Terms; - Your use of the Services; - Any content you post that infringes the intellectual property rights or other rights of any third party. --- ## 10. Modifications to These Terms We may update these Terms from time to time. For material changes that affect your rights, we will provide at least 14 days' prior notice by: - Publishing a notice on the platform homepage; - Sending an email to your registered address; - Displaying the updated Terms when you next log in. Your continued use of the Services after any modification constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must cease using the Services and close your account. --- ## 11. Dispute Resolution ### 11.1 Good Faith Negotiation In the event of any dispute arising from these Terms or your use of the Services, we encourage you to first seek resolution by contacting our customer support team. ### 11.2 Governing Law and Jurisdiction These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore. Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC), with the arbitration held in Singapore in the English language. The arbitral award shall be final and binding on both parties. ### 11.3 Additional Remedies Nothing in these Terms affects your statutory rights as a consumer under the Consumer Protection (Fair Trading) Act 2003 (Cap. 52) of Singapore. If you wish to pursue a small-value dispute, you may file a claim with the Small Claims Tribunal of Singapore, with a jurisdictional limit of SGD 20,000. --- ## 12. Severability If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be limited to the minimum extent necessary and the remainder of these Terms shall continue in full force and effect. --- ## 13. Entire Agreement These Terms (together with any documents referred to herein and incorporated by reference) constitute the entire agreement between you and XinXin Network with respect to the Services and supersede all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, between you and XinXin Network.
